APPIAN PUBLIC SECTOR SOLUTIONS CUP 2021 OFFICIAL RULES

The Public Sector Solutions Cup (“PSSC”) is a promotion offered by Appian Corporation and its affiliates and licensors (collectively referred to as “We”, “Us” or “Our”).  It allows eligible participants, as more particularly described below (“You” or “Your”), to submit a solution (“Submission”) developed using Our software platform (“Appian Platform”), which will be judged by Us and, if meeting certain criteria, will make You eligible to receive certain prizes described below. The PSSCwill be conducted pursuant to these Official Rules (“Official Rules”).  

YOU ARE NOT REQUIRED TO MAKE ANY PURCHASE OR TO MAKE ANY PAYMENT TO PARTICIPATE IN THE PSSC.  A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.  THE PSSC IS VOID WHERE PROHIBITED. 

BY PARTICIPATING IN THE PSSC, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES.  IF YOU DO NOT AGREE TO THESE OFFICIAL RULES OR IF YOU DO NOT HAVE THE AUTHORITY TO BIND YOUR TEAM OR ORGANIZATION, AS APPLICABLE, TO THESE OFFICIAL RULES, YOU MAY NOT PARTICIPATE IN THE PSSC. 

  1. Partner Cup Period. The PSSC runs from Friday, October 1st, 2021 at 12:00 AM Eastern Standard Time through Monday, November 15, 2021 at 11:59 PM Eastern Standard Time (“Partner Cup Period”).
  2. Eligibility.To be eligible to participate in the PSSC, You and every member of Your team or organization, if applicable, must satisfy each of the following: 
    • be at least age 18
    • not be from any part of the world where We are not licensed to do business, unable to lawfully export the Appian Platform, or where the PSSC is unlawful
    • not be a resident of, or an organization domiciled in Brazil, Quebec, Cuba, Sudan, Iran, North Korea, Syria and any other country in which We are prohibited from doing business by applicable law
    • not be Our employees, Judges (as defined below) or persons or entities employed by or employing a Judge, or employees or immediate family members of Our competitors 
    • not, in Our sole discretion, be an individual or organization whose participation in the PSSCwould create a real or apparent conflict of interest or competitive conflict  
  3. How To Enter.You must accurately complete an entry form to be eligible to participate in the PSSC.  By submitting an entry form, You consent to Our collecting and maintaining Your personal information for the purpose of operating the PSSC and publicizing the PSSC, pursuant to these Official Rules and Our published privacy policy. 
  4. Access to the Appian Platform. To develop a Submission You will need access to a cloud instance of the Appian Platform.  Your use of the Appian Platform will be subject to a separate license agreement between You and Us. If You already have a valid license agreement with Us for the Appian Platform permitting You to use the Appian Platform pursuant to these Official Rules, You may use Your existing license to the Appian Platform to participate in the PSSC.  If You do not have an existing license agreement to use the Appian Platform consistent with the PSSC, then You may obtain a free license to use the Appian Platform from Us. 
  5. Team Representation.If You are entering the PSSCas a team or organization, You must appoint and authorize one individual (the “Representative”) to represent and act on Your behalf.  Any Submission must be entered on Your behalf by the Representative.  The Representative must meet the eligibility requirements above. The individual entering a Submission to the PSSCrepresents and warrants that he or she is the Representative authorized to act on behalf of Your team or organization.
  6. Submission Requirements. Submissions must meet the following requirements:
    • be built using the Appian Platform.
    • include a demonstration video of the entry.  The video portion of the Submission:
      1. should be less than five (5) minutes.
      2. should include footage that clearly demonstrates and walks through the solution associated with the Submission.
      3. be uploaded to YouTube, Vimeo, or Yuku, and a link to the video must be provided on the Submission form on the PSSCwebsite.
    • be a new Submission or an update to an existing Submission created during the Partner CupPeriod.  If an update to an existing Submission, the Submission will be judged solely on the basis of the update and You will be required to explain how the solution has been updated during the Partner CupPeriod.
    • function as depicted in the submitted video and text description.
    • be in English.
    • be Your original work, be solely owned by the You, or be other material You have permission to use pursuant to these Official Rules.
    • be provided as a working application by providing a link to a website, functioning demo, or a test build. If Your website is private, You must include login credentials.
    • be provided to Us at no charge for the testing and judging and applicable display periods.

You may submit more than one Submission, however, each Submission must be unique and substantially different from each of Your other Submissions, as determined by Us in Our sole discretion.

If a Submission uses the integration SDK, APIs and/or data, You must be authorized to use them and allow Us to use them for the purpose of judging and displaying such Submission.

  1. Submission Modifications.
    A. Draft Submissions.  You may save draft versions of your Submissions during the PSSC Period on designated areas of Our website.  Once the Partner CupPeriod expires, You may not make any changes or alterations to Your Submission, but You may continue updating the project in Your portfolio subject to You continuing to have a valid license to use the Appian Platform.
    B. Modifications After the Partner CupPeriod.  We may permit You to modify part of Your Submission after the Partner CupPeriod to remove material that potentially infringes a third party mark or right, discloses personally identifiable information, or is otherwise inappropriate. The modified Submission must remain substantively the same as the original Submission with the only modification being that what We permit.
  2. Judges & Criteria. Eligible Submissions will be evaluated by a panel of judges selected by Us (“Judges”).  Judges may be Our employees or third parties, may or may not be listed individually on Our website, and may change before or during the period during which the Submissions will be judged pursuant to the PSSC (“Judging Period”). Judging may take place in one or more rounds with one or more panels of Judges, at Our discretion.  Submissions will be evaluated on the following criteria, and according to the Judge’s sole and absolute discretion.
  3. Quality of the idea underlying the Submission (creativity and originality of the idea)
    • Implementation of the idea underlying the Submission (how well the idea was executed by You)
    • Potential Impact (how the Submission can impact enterprises)

The three (3) Submissions earning the highest overall scores based on the judging criteria will become potential winners of the first, second and third place prizes described below. Judges are not required to test a Submission and may choose to judge based solely on the description, images and video provided with a Submission.  For each prize, if two or more Submissions are tied, the Submission with the highest score in the first judging criterion (quality of idea) will be considered the higher scoring Submission.  In the event any ties remain, this process will be repeated, as needed, by comparing the tied Submissions’ scores on the next applicable criterion. If two or more Submissions are tied on all applicable judging criteria, the panel of Judges will vote on a winner of the tied Submissions.

  1. Intellectual Property Rights.  All Submissions remain Your intellectual property, except that We reserve all rights in the Appian Platform.  By submitting a Submission, You grant Us a worldwide, irrevocable, sublicensable, transferable, fully paid, non-exclusive license to use the Submission for judging the entry and to display the Submission on the Appian App Market.  Nothing prevents or limits Us from marketing or selling anything that is substantially similar to Your Submission.  You authorize Us to use Your name, likeness, voice and image to promote or publicize the PSSC and its results during the Partner CupPeriod and for three years thereafter, subject to our posted privacy policy.  You agree that we may publicly display the following Submission components: Submission description, Submission images, Submission video URL, Submission website, Submission URL, and Submission category.  By submitting a Submission, You represent and warrant that (a) the submitted content is not copyrighted, protected by trade secret or otherwise subject to third party intellectual property rights or other proprietary rights, including privacy and publicity rights, unless You are the owner of such rights or You have permission from the rightful owner to post the content; and (b) the content submitted does not contain any viruses, trojan horses, worms, spyware or other disabling devices or harmful or malicious code.
  2. Prizes.  PSSC prizes are non-transferable by the winner. Prize winners will be solely responsible for all applicable taxes related to accepting the prize.

  1. Prize Winners.  There is a limit of one (1) prize per person or team or organization. Winners will be notified at AppianGOVERNMENT on or about the date or time set forth on Our website. THE AWARD OF A PRIZE TO A POTENTIAL WINNER IS SUBJECT TO VERIFICATION OF THE IDENTITY, QUALIFICATIONS AND ROLE OF THE POTENTIAL WINNER.  Each winner or member of a winning team/organization (as applicable) may be required to complete, sign, have notarized (if applicable) and return to the address specified by Us, without alteration and in the form presented by Us, an affidavit of eligibility, declaration and/or liability/publicity release (unless prohibited by law) and tax forms (if applicable) or the prize may be forfeited. Winners must return required forms within ten (10) business days after the forms are sent. In the event of noncompliance with these requirements, the prize may be forfeited and awarded to an alternate winner (time permitting and in Our sole discretion) based on the Judges’ scores. The affidavit of eligibility and liability/publicity release (if any) are subject to verification by Us. We reserve the right to modify the notification procedures in connection with the selection of an alternate potential winner, if any.

Prizes will be payable to You, if an individual, or to Your Representative, if You are a team or organization.  Your Representative is responsible for allocating the prize among Your team’s or organization’s participating members, as the Representative deems appropriate.  A monetary prize will be mailed to Your address (if You are an individual) or the Representative’s address (if You are a team or organization), or wired to Your Representative, or organization’s bank account, only after receipt of the required forms.

  1. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, RELEASE, AND HOLD US AND OUR EMPLOYEES, DIRECTORS AND OFFICERS HARMLESS FROM ANY LIABILITY WHATSOEVER WITH RESPECT TO CLAIMS ARISING OUT OF YOUR PARTICIPATION IN OR OUR OPERATION (INCLUDING JUDGING AND DETERMINATIONS OF ELIGIBILITY) OF THE PSSC.  IF YOU WIN A PRIZE, YOU AGREE THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY.  ACCORDINGLY, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

  1. Dispute Resolution/Governing Law.  To the fullest extent permitted by applicable law, by participating in the PSSC, You agree that any action at law or in equity initiated by any person or entity against Us or any person or entity affiliated with Us arising out of or relating to these Official Rules or the PSSC shall be filed exclusively in the courts of County of Fairfax, Commonwealth of Virginia, and You hereby consent and submit to the personal and exclusive jurisdiction of such courts for the purposes of litigating any such action, with any right of change of venue or forum non conveniens or the like being expressly waived.  Any such action shall be resolved individually, NOT as part of a class action; and any claims/judgments/awards shall be limited to actual out-of-pocket costs incurred, but NOT attorneys’ fees (or damages/remedies/relief of any other kind). These Official Rules and the PSSC shall be governed by the laws of the Commonwealth of Virginia without regard to choice of law/conflict of law principles of the Commonwealth of Virginia or any other jurisdiction.
